Position Overview
Displate is seeking a business-minded, pragmatic Corporate Counsel to serve as our embedded legal advisor supporting our US operations and manufacturing hub in Louisville, KY. In this role, you will partner directly with operating teams and executive leadership. You will serve as the legal anchor for our US presence, managing commercial contracts, corporate governance, operational compliance, and day-to-day facility legal matters.
Key Responsibilities
Commercial & Vendor Agreements: Draft, review, and negotiate standard and complex commercial contracts, vendor agreements, procurement terms, and operational supply chain contracts.
Corporate Governance & Entity Management: Oversee US corporate filings, state registrations, subsidiary maintenance, and corporate compliance across our expanding US footprint.
Operational & Employment Advisory: Partner closely with Plant Leadership and Human Resources on day-to-day workplace policies, labor and employment matters, facility operations, and regulatory compliance.
Risk Management & Outside Counsel: Identify operational and business legal risks, establish practical compliance standards, and coordinate with outside specialty counsel as needed.
Business Advisory: Act as an embedded legal partner providing real-time guidance directly to plant leadership and global stakeholders.
Work Arrangement & Schedule
Hybrid Schedule: This position operates on a balanced hybrid model based out of our Louisville, KY facility. You will spend scheduled on-site days partnering directly with plant operations and leadership teams, with designated remote workdays for focused legal drafting, research, and transactional review.
Local Presence: Candidates must reside within a reasonable commuting distance of the Louisville facility to participate in regular on-site operational meetings and business reviews.
Requirements
Qualifications
Education & Bar: Juris Doctor (J.D.) from an ABA-accredited law school and an active license in good standing with the Kentucky Bar (or eligible for immediate reciprocity / Kentucky in-house counsel registration).
Experience: 5–8+ years of corporate, commercial contracting, and transactional legal experience (law firm, in-house, or hybrid background).Core Competencies: Strong drafting and negotiation skills with general commercial agreements, corporate entity management, and foundational exposure to labor/employment topics.
Mindset: Business-first collaborator who thrives partnering directly with operational leadership while maintaining a balanced hybrid schedule.
Preferred (Optional)
Experience supporting manufacturing, distribution, logistics, or industrial supply chain environments.
Familiarity with intellectual property, brand licensing, or commercial vendor partnerships.
