Job Summary
One Health is seeking an accomplished Associate General Counsel to become a key member of our in- house legal team. This position is ideal for an experienced corporate attorney with proven expertise in structuring, negotiating, and executing sophisticated M&A transactions within the healthcare sector.
In this role, you will lead acquisitions, joint ventures and other strategic transactions, ensuring full compliance with applicable healthcare regulations. You will work closely with senior leadership to advance the company’s growth strategy while delivering practical, business-focused legal solutions that protect the organization’s interests and support long-term success.
- Lead and manage complex M&A transactions, joint ventures, and strategic corporate partnerships from inception through integration.
- Provide strategic legal counsel on healthcare regulatory compliance in M&A transactions, including due diligence, risk assessment, and post-closing integration planning.
- Collaborate cross-functionally with finance, compliance, business development, and operational teams to ensure successful deal execution and alignment with enterprise goals.
- Develop and implement M&A playbooks, due diligence protocols, and post-closing integration procedures aligned with industry best practices and legal standards.
- Stay abreast of emerging regulations, industry trends, and developments in corporate healthcare law to proactively advise stakeholders.
- Support and mentor peers, junior attorneys, paralegals, and other Legal Department staff, fostering a culture of collaboration, accountability, and ethical conduct.
Requirements
- J.D. degree from an accredited law school.
- Active bar membership in at least one U.S. jurisdiction.
- Minimum of 7 years of experience in M&A and corporate transactions with significant large law firm experience and training.
- Demonstrated expertise in healthcare transactions and regulatory compliance.
- Strong legal acumen in negotiation, contract drafting, and regulatory analysis.
- Proven ability to manage multiple high-stakes transactions in a dynamic, fast-paced environment.
- Exceptional communication skills and business judgment.
- Strong analytical, negotiation, and problem-solving abilities
